Pulsar Informatique - End User License Agreement (EULA)

This End User License Agreement (the “Agreement”) is made between the company or individual accepting this Agreement (hereinafter "you") and Pulsar Informatique (the “Developer”). This Agreement constitutes an exclusive agreement between you and the Developer, and governs your use of the Developer's software application and related services (together with related documentation and proprietary or intellectual property materials, the “Application”).
Please read this Agreement carefully and in its entirety. You agree to be bound by its terms by clicking “Accept” or by downloading, installing, copying or using the Application. If you do not agree to the terms, you must click "Decline" and refrain from using the Application.
1. The Application
1.1 The Application allows you to comply with the requirements of Revenu Québec related to MEV-WEB as well as the use of the Clover POS application.
1.2 The Developer grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license for the Duration (as defined below), allowing you to use the Application for internal commercial purposes only. You agree not to distribute, rent, host, transfer, sell, modify, disassemble, decompile, copy, analyze, or create derivative works of the Application, nor attempt to extract its source code. This license does not grant you any rights to the trademarks, logos, or intellectual property rights of the Developer (or any third party), unless expressly stated otherwise. All rights not expressly granted are reserved by the Developer. You must retain and display all ownership notices or legal disclaimers associated with the Application.
1.3 The Application may undergo automatic updates. You may need to accept them in order to continue using the Application. Interruptions or delays may occur during maintenance. Outdated versions may no longer be supported. You are responsible for having the necessary equipment and services, including an adequate internet connection.
2. Duration
This Agreement enters into effect upon your acceptance or your first use of the Application, and remains in effect on a monthly renewable basis, until its termination (the "Duration").
3. Suspension and Termination
3.1 The Developer may suspend or terminate your access to the Application immediately in the event of: breach of the provisions of this Agreement; damage to his reputation or rights; termination of contracts with third parties affecting the Application; excessive or abusive use; bankruptcy or insolvency; fraudulent, illegal or unethical use.
3.2 You may terminate this Agreement at any time by giving notice. Termination will take effect at the end of the current billing period. No refund will be made.
4. Privacy, Data and Suggestions
4.1 Each party agrees not to disclose the confidential information of the other party, including business, technical, or financial data. Public information, previously known information, or information developed independently is not considered confidential.
4.2 Confidential information may only be shared with individuals who have a legitimate need to know, or as required by law.
4.3 The Developer may use the data collected through the Application to provide the service, conduct research or produce analyses in aggregated and anonymized form, in accordance with applicable laws. The data collection and use are governed by the Privacy Policy.
4.4 Any suggestions, ideas or feedback you provide will be treated as non-confidential. The Developer may use them freely, without obligation to notify or compensate you.
5. Account
To use the Application, you must create an account, provide accurate and up-to-date information, and secure your access (login, password). You are solely responsible for any unauthorized use or loss of data, and must make regular backups.
6. Limitation of liability
6.1 The Application is provided "as is" and "as available", without any express or implied warranty, including, without limitation, as to performance, reliability, continuity of service, absence of errors or fitness for a particular purpose.
6.2 The Developer does not warrant that the Application will operate without interruption, nor that the associated services will be available 100% of the time. Temporary interruptions may occur due to maintenance, errors, technical failures or circumstances beyond the Developer's control.
6.3 You acknowledge and accept that you are solely responsible: for the configuration and maintenance of the equipment, terminals and connections required to use the Application; for backing up your data and verifying that your operations comply with your legal and tax obligations; for any consequence arising from a failure, configuration error or inappropriate use of the Application.
6.4 In no event shall the Developer be liable for loss of profits, revenue, data or any indirect, incidental, special or consequential damage, even if advised of the possibility of such damages.
7. Communications
You authorize the Developer to contact you through the contact details associated with your account (email, phone, SMS, etc.). Any associated communication costs are your responsibility.
8. Compliance with Privacy Laws
8.1 Pulsar Informatique will process personal data on merchant behalf, in compliance with applicable laws (e.g. CPPA), without selling or using it for its own purposes.
8.2 Pulsar Informatique will not use merchant's personal data for independent commercial purposes or in any way that is contrary to the legislation.
8.3 The collection and use of merchant's personal data will be limited to what is strictly necessary to provide the agreed services.
9. Right of the individual
9.1 Pulsar Informatique will reasonably assist the Merchant in responding to requests from the individuals concerned, depending on the functionalities available.
9.2 If an individual contacts Pulsar Informatique directly, Pulsar Informatique will redirect the request to the Merchant.
9.3 Pulsar Informatique shall immediately inform the Merchant of any complaint or communication relating to compliance with privacy laws.
10. General disposition
10.1 You declare that you have the legal authority to agree to this Agreement.
10.2 Pulsar Informatique may modify this Agreement at any time, subject to notification. Continuing to use the Application will constitute acceptance of the changes.
10.3 Each party agrees to comply with applicable laws, including data protection laws. You agree not to use the Application for harmful, unlawful, or malicious purposes.
10.4 This Agreement is governed by the laws of the State of New York. The competent courts will be those of Suffolk County (NY). The parties waive any right to a jury trial.
10.5 This Agreement constitutes the entire agreement between the parties. If any clause is found to be invalid, it shall be severed without affecting the remaining clauses.
10.6 You may not assign this Agreement without the prior written consent of Pulsar Informatique. Pulsar Informatique may assign this Agreement freely.
